Hydro System Treatment

The following general sales conditions regulate all sales relationship between Hydro System Treatment S.r.l., called HST hereinafter,

and its Customers. Any technical drawing or document related to HST Products, even if provided to the Customer, shall at all times

remain at exclusively property of HST and shall not be provided, submitted or disclosed to third parties without authorisation from HST side.

All supplies are made exclusively upon the terms hereinafter set out, which the Customer states to know and to accept. Any further

condition here not indicated will be binding only upon written confirmation by HST.

1. DELIVERY Deliveries are subject to the production capacity. The delivery date is to be considered with no commitment from

HST side, which shall communicate to the Customer in writing in the order confirmation the date, even if purely indicative and

not binding, of availability of goods in its warehouse.

2. DELIVERY TERM Unless further written agreement, prices are deemed to be ex-works and are not inclusive of any accessory

charges or services rendered (packing, transport) which remain at Customer’s charge.

3. TRANSPORT Once the goods leave HST’s plant, they are soon to be intended as Customer’s property, even if sent freight

paid and whatever are the payment conditions; any HST’s responsibility ceases upon delivery of goods to the carrier.

The goods, also in case they are free delivered, travel at the Customer’s sole risk and responsibility, and under no eventuality

will HST liable for any inconvenience occurred during the transport.

4. PAYMENT The payment terms will be individually and in writing agreed. Should the Customer require a postponed delivery, if

accepted, HST will have the right to ask for the storage costs. Even when delivery is delayed, payment must be made in accordance

with the agreed terms. In case of delayed payments, HST reserves the right to add interest charges, calculated at 7% points above

the official European Central Bank’s interest rate.

The agreed payment terms are peremptory.

5. CLAIM OR COMPLAINT Upon goods receipt and before signing the consignment note to the carrier, Customer’s duty is:

- To check kind and number of packaging, which are to be correspondent to what stated in the delivery documents

- To check the external conditions of the packaging, looking for eventual damages which could affect the integrity and the quality

of the supplied products.

Any damages or other problem shall be notified in the consignment note of the carrier and countersigned by the carrier. The Cus-

tomer shall immediately inform HST in writing accordingly. Any claims for the occurred damages shall be made to the carrier.

HST will be not liable for any damages or loss resulting from mishandling during the transit. Guarantee only includes the replace-

ment of material found to be defective from the origin.

6. QUANTITY The quantity supplied by HST is the same indicated in the order confirmation. Customer’s responsibility is to verify

the correctness of all the data indicated in the order confirmation. Any variations to the order will be subject to the sales condi-

tions here mentioned and, if commitments of HST allow, will be put at Customer’s disposal as soon as possible.

7. PRICES The applied prices are those indicated in HST price list and yearly reviewed on the bases of market influences, raw

materials and labour costs. HST reserves the right to modify anytime its prices, unless contractually agreed.

8. WARRANTY HST grants 5 years warranty on pressure tanks and 2 years on cabinets and brine tanks.

9. APPLICABLE LAW For any kind of action and controversy arising from and relating to the sale, the exclusive place of jurisdic-

tion is the Brescia Law Court, renouncing the parties to any disputes of its clauses, whatever are the payment conditions.
